• Broker Comment: I WAS VP OF TOTAL RECYCLING SERVICES, INC. (TRS). TRS OPERATED A TRANSFER STATION IN HARRISBURG, PENNSYLVANIA. IN 2002, THE COMPANY MOVED TO A NEW FACILITY AND, DUE TO CHANGES IN REGULATIONS, TRS WAS REQUIRED TO OBTAIN A RESIDUAL WASTE FACILITY PERMIT. TRS RETAINED AN ENVIRONMENTAL PROFESSIONAL TO PREPARE THE PERMIT. I WAS THE CONTACT FOR THE COMPANY TO BOTH THE ENVIRONMENTAL PROFESSIONALS AND THE PENNSYLVANIA DEPARTMENT OF ENVIRONMENTAL PROTECTION (PADEP). THE PADEP ALLOWED TRS TO OPERATE WHILE THE PERMIT WAS IN PROGRESS. DUE TO VARIOUS PROBLEMS, INCLUDING THE FACT THAT THE FACILITY WAS LOCATED ADJACENT TO A FEDERAL HIGHWAY MAKING NECESSARY SURVEYS IMPOSSIBLE, THE PERMIT TOOK LONGER TO PREPARE THAN ANTICIPATED, BUT WAS FINALLY SUBMITTED IN MARCH OF 2004. WHILE THE PERMIT WAS IN REVIEW, AN INSPECTION BY THE PADEP DISCLOSED THAT SOME OF THE PARTS WASHER SOLVENT COLLECTED FROM TRS CUSTOMERS CONTAINED HAZARDOUS CONSTITUENTS. TRS HIRED AN ENVIRONMENTAL FIRM TO REMOVE ALL OF THE MATERIAL, BUT NEVER PAID THE FIRM. AS A RESULT, THE PADEP FILED CHARGES AGAINST THE COMPANY, ITS PRESIDENT, AND ME. WE WERE ALL CHARGED WITH 6 COUNTS OF MANAGEMENT OF HAZARDOUS WASTE (FELONIES) AND 6 COUNTS OF UNLAWFUL CONDUCT (MISDEMEANORS). ALL OF THE OFFENCES WERE STRICT LIABILITY OFFENCES SO THE STATE DID NOT HAVE TO PROVE KNOWLEDGE OR CONTROL. THE STATE ONLY HAD TO PROVE THAT THE EVENT HAPPENED AND THAT I WAS AN OFFICER. THE AAG ADVISED ME THAT I WAS CHARGED BECAUSE MY NAME APPEARED ON CORRESPONDENCE AND TO LEVERAGE MY COOPERATION. ALL PARTIES COOPERATED FULLY WITH THE INVESTIGATION. BECAUSE I DID NOT HAVE CONTROL OR DECISION-MAKING AUTHORITY WITH RESPECT TO COMPANY OPERATIONS, THE FELONY CHARGES WERE DISMISSED AND I PLEAD GUILTY TO 6 CLASS THREE MISDEMEANOR COUNTS OF UNLAWFUL CONDUCT. THE COURT IMPOSED THE MINIMUM FINES BECAUSE THERE WAS NO EVENT OF POLLUTION, THE PADEP KNEW THAT TRS WAS THERE, AND BECAUSE I FULLY COOPERATED WITH THE INVESTIGATION.

According to a study prepared for the FINRA Investor Education Foundation, 80 percent of American investors report that they have been solicited to participate in a fraud scheme, while 11 percent of American investors report that they personally lost money as a result of fraud.

FINRA notes that the rate of investment fraud is most likely much higher than it is reported. This is because many victims of financial advisor scams are too ashamed to come forward. Further, the study also found that a significant number of investors do not know how to spot common red flags of investment fraud. Most of the time financial advisors and stockbrokers are honest folks who work diligently in their client’s best interests. • Breach of Fiduciary Duty: Under the Investment Advisers Act of 1940, certain investment professionals, known as registered investment advisors (RIAs), owe fiduciary obligations to their customers. Your investment broker must always look out for your best interests. If you lost money because of your broker’s breach of fiduciary duty, you may be entitled to compensation for the full value of your damages.
• Unsuitable Investments: Many financial advisors are not fiduciaries. Instead, they are held to the suitability standard. These stockbrokers and financial advisors can only sell and recommend financial products that are appropriate for a customer’s unique investment profile. If you lost money in unsuitable investments, you should consider reporting them.
• Material Misrepresentations or Omissions: Brokers have a duty to make fair and honest representations to their clients. If they fail to do so, and an investor loses money due to a misrepresentation or a material omission, the broker may be liable for the investor’s losses.
• Lack of Diversification: Brokers must also act with the appropriate level of professional skill. Pushing a customer into over-concentrated investments is highly risky. Brokers can be held liable for losses sustained because of an investor’s inappropriate lack of diversification.
